Article 2152
Le mandant est tenu de décharger le mandataire des obligations que celui-ci a contractées envers les tiers dans les limites du mandat.
Il n’est pas tenu envers le mandataire pour l’acte qui excède les limites du mandat; mais ses obligations sont entières s’il ratifie cet acte ou si le mandataire, au moment où il agit, ignorait la fin du mandat.

Article 2152
The mandator is bound to discharge the mandatary from the obligations he has contracted towards third persons within the limits of the mandate.
The mandator is not liable to the mandatary for any act which exceeds the limits of the mandate. He is fully liable, however, if he ratifies such act or if the mandatary, at the time he acted, was unaware that the mandate had terminated.

Commentaires

Cet article reprend l'article 1720 C.C.B.C. quant à l'obligation du mandant envers le mandataire pour les obligations que ce dernier a contractées envers les tiers. Il distingue selon que ces actes excèdent ou non les limites de son mandat.


Il propose toutefois une formulation plus juste. Ainsi, il est préférable de dire que le mandant est tenu de décharger le mandataire des obligations que celui-ci a contractées envers les tiers dans les limites de son mandat, plutôt que de dire, comme auparavant, qu'il est tenu de l'indemniser. En effet, la formulation antérieure, interprétée restrictivement, pouvait donner l'impression que le mandataire devait d'abord exécuter l'obligation assumée envers le tiers, pour ensuite être indemnisé par le mandant, alors que le mandant doit assumer, à la place du mandataire, l'obligation que celui-ci a contractée envers le tiers.


Quant à la fin du second alinéa visant les actes du mandataire faits dans l'ignorance de la fin du mandat, il reprend, sous une formulation plus juste, la règle énoncée à l'article 1760 C.C.B.C., qui a sa place dans le paragraphe traitant des rapports entre le mandant et le mandataire.
